FGRS Was a New Public Share Class, Not a New Crypto Coin

Figure did not begin in 2026, and FGRS was not a token-generation event or a new blockchain mainnet. The February launch placed an SEC-registered class of Figure common stock on the already-running OPEN and Provenance infrastructure. It has documented shareholder rights, but access remains permissioned and liquidity is not guaranteed.

Figure’s business and Nasdaq listing came first

The legacy Figure group dates to 2018, when its consumer-credit business and HELOC product began. Figure reached public markets through a conventional Class A IPO in September 2025: 31.5 million shares were priced at $25, with Nasdaq trading under FIGR expected to begin the next day.

On November 17, 2025, Figure proposed a separate Series A Blockchain Common Stock class. The filing described Provenance issuance, Figure ATS trading and one-for-one conversion into Class A shares, but the size and completion of the transaction were still undetermined. That proposal was not a completed token sale.

OPEN launched before the FGRS issuance

Figure announced OPEN running on Provenance Blockchain on January 14, 2026. The company described blockchain-registered equity rather than a wrapper around DTCC-held securities, but it still referred to Figure’s own blockchain stock as OPEN’s planned first issuance. The network and the stock therefore had separate launch dates.

The registration became effective on February 17. Figure priced 4,375,000 Series A Blockchain Common Stock shares at $32 on February 18 and announced FGRS on February 19. Figure said users could buy, trade, lend and borrow the shares through Figure Markets; those activities operate within the named platform, ATS, wallet and compliance stack.

The prospectus defines the rights and limits

Each whole FGRS share carries one vote and may be converted, at the holder’s election, into one whole Class A share. Class B carries ten votes per share and the classes generally vote together. The prospectus reported concentrated voting control, so FGRS voting rights do not imply proportional control of Figure.

Figure said it did not intend to pay cash dividends on common or blockchain stock for the foreseeable future. SEC registration is not SEC approval, and the reviewed documents do not state a reserve-redemption right, stablecoin peg or guaranteed return. Transfers require KYC/AML-onboarded wallets and the required Figure Markets and YLDS access.

OTC status and changing records require current verification

The final prospectus says FGRS is not listed on Nasdaq or another national securities exchange. Current SEC metadata distinguishes FIGR as Nasdaq and FGRS as OTC, while OTC Markets identifies FGRS as Series A blockchain common stock on Pink Limited. The issuer’s filed chronology says it was incorporated in Delaware on March 18, 2024 and converted to a Nevada corporation on April 28, 2025; its June 2026 Form 10-Q cover identifies Nevada as the current state of incorporation.

A Provenance explorer deep link is provided, but live supply, holder and administrator figures are deliberately omitted. The repository’s market quantity, an earlier explorer snapshot and OTC Markets’ later share-structure figure did not agree, and the explorer page did not expose stable machine-readable evidence during review. OPEN’s expansion to additional issuers also remains a company roadmap rather than proof of a completed broad equity network.

FIGR opens the conventional public-market chapter

Figure priced a 31.5 million-share Class A IPO at $25, with Nasdaq trading under FIGR expected to begin on September 11.

  3. 2025-11-17
    Blockchain-stock registration is proposed

Figure filed for Series A Blockchain Common Stock with Provenance issuance, ATS trading and one-for-one whole-share conversion to Class A.

  4. 2026-01-14
OPEN launches before its first Figure share issue

Figure announced OPEN running on Provenance while still describing its blockchain stock as the planned first issuance.

  5. 2026-02-17–19
Registration becomes effective and FGRS launches

The registration became effective on February 17, 4,375,000 shares were priced at $32 on February 18, and FGRS was announced live on February 19.

  6. 2026-08-22
Current records show an OTC, permissioned share class

SEC metadata associated FIGR with Nasdaq and FGRS with OTC, while OTC Markets identified FGRS on Pink Limited; conflicting live quantities were excluded.

Evidence and primary sources

What is FGRS (Figure Tokenized Stock)?

FGRS is Figure Technology Solutions, Inc.’s SEC-registered Series A Blockchain Common Stock, issued natively on Provenance Blockchain through Figure’s On-Chain Public Equity Network (OPEN). It is a class of corporate common stock, not a cryptocurrency token-generation event, a stablecoin, or a wrapper representing private shares held elsewhere.

Figure’s conventional Class A shares began their public-market chapter under Nasdaq ticker FIGR in September 2025. FGRS is a separate blockchain share class launched in February 2026. The final prospectus states that each whole FGRS share carries one vote and may be converted, at the holder’s election, into one whole Class A share. FGRS itself is not listed on Nasdaq or another national securities exchange; current SEC metadata associates it with OTC status, and OTC Markets identifies it on the Pink Limited market.

What problem does FGRS (Figure Tokenized Stock) solve?

OPEN was designed to place the share register, trading and settlement workflow for public equity on blockchain infrastructure rather than relying solely on the conventional DTCC-centered stack. Figure says the structure uses its ATS, self-custody wallets and YLDS settlement, with blockchain records maintained alongside the transfer agent’s off-chain identity records.

That design does not remove securities-law controls or guarantee liquidity. Purchasers need the required Figure Markets and YLDS access, and transfers are limited to wallets that have completed KYC/AML onboarding. The prospectus warns that an active FGRS market may not develop and that conversion and settlement can be delayed.

How does FGRS (Figure Tokenized Stock) work?

Figure priced a secondary public offering of 4,375,000 Series A Blockchain Common Stock shares at $32 per share on February 18, 2026, after the registration statement became effective on February 17. Figure announced FGRS on February 19 as live on the already-running OPEN network. Trades use Figure’s ATS and YLDS within the Figure Markets workflow, while Figure Equity Solutions acts as the transfer agent and keeps identifying information off-chain.

For legal rights, the final prospectus—not the token label—is controlling: each whole blockchain share has one vote and may be converted one-for-one into a whole Class A share. Class B shares have ten votes each, and the classes generally vote together. Figure said it did not intend to pay cash dividends on common or blockchain stock for the foreseeable future.

The Provenance explorer deep link is supplied for current technical inspection, but this enrichment does not freeze a live supply, holder count or administrator-permission claim. Reviewed repository data, an earlier explorer snapshot and the current OTC share-structure page reported incompatible point-in-time quantities, while the public explorer page did not expose stable machine-readable evidence during this review.

Frequently asked questions

Is FGRS a cryptocurrency or a tokenized private-share wrapper?

No. Figure and the final prospectus describe FGRS as an SEC-registered, blockchain-native class of Figure common stock. It was issued after Figure’s conventional Class A IPO and is not a crypto TGE or a private-equity wrapper.

How is FGRS different from FIGR?

FIGR is Figure’s conventional Class A stock listed on Nasdaq. FGRS is Series A Blockchain Common Stock issued through OPEN; each whole FGRS share may be converted into one whole Class A share under the prospectus, but FGRS itself is not nationally exchange-listed.

What legal rights does one FGRS share provide?

The final prospectus states that each whole blockchain share carries one vote and may be converted at the holder’s election into one whole Class A share. It does not promise reserve redemption, a stable value, a guaranteed return or near-term cash dividends.

Can anyone freely transfer or trade FGRS?

No. Access uses Figure Markets and YLDS, and transfers are restricted to KYC/AML-onboarded wallets. Trading also depends on Figure’s ATS and related infrastructure, while the prospectus warns that an active market may not develop.

What is the current FGRS supply?

This enrichment does not state a live number. Repository market data, an earlier Provenance snapshot and OTC Markets showed incompatible point-in-time quantities, and the reviewed explorer page did not provide stable machine-readable evidence. The current figure should be verified directly at the time of use.
